These Terms and Conditions (the "Terms") are an agreement between you (the "User," "you," or "your") and BlueDot Designs LLC, a Texas limited liability company doing business as ChurchFam ("ChurchFam," "we," "us," or "our"), with its principal address at 5900 Balcones Drive, Suite 100, Austin, TX 78731.

These Terms govern your use of the ChurchFam mobile application and any related websites and services we provide to Users (together, the "App"). The App is owned and operated by BlueDot Designs LLC.

By creating an account or using the App, you agree to these Terms and to our Privacy Policy, available at churchfam.co/privacy, which is incorporated into these Terms by reference. If you do not agree, do not use the App.

1. ELIGIBILITY AND ACCOUNTS

(a) You must be at least 18 years old to create an account or use the App.

(b) The App is a private community platform. Access requires an invitation or approval from a participating church. Your church's administrators control membership in that church's community and may approve, decline, or remove members.

(c) You agree to provide accurate account information, to keep your login credentials secure, and to notify us promptly of any unauthorized use of your account. You are responsible for activity that occurs under your account.

2. YOUR CHURCH'S ROLE

(a) The App is provided to you at no charge. Your church maintains a separate subscription agreement with ChurchFam that makes the App available to its members.

(b) Your church's administrators may manage the community you participate in, including adding and removing members, creating and closing groups, and moderating content within that community.

(c) If your church's subscription ends or is suspended, your access to that church's community may be suspended or terminated. Data export for the community is handled through the church under its agreement with ChurchFam.

3. INTELLECTUAL PROPERTY RIGHTS

(a) The App is ChurchFam's proprietary property, and all source code, functionality, databases, software, designs, graphics, and text in it, and the ChurchFam trademarks, logos, and other marks (together, the "ChurchFam Content"), are owned by or licensed to ChurchFam and are protected by the copyright, trademark, and other intellectual property laws of the State of Texas, the United States, foreign jurisdictions, and international conventions.

(b) Subject to these Terms, ChurchFam grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial participation in your church community. This license terminates when these Terms terminate.

(c) Except as expressly permitted, the ChurchFam Content may not be reproduced, copied, distributed, sold, or exploited without ChurchFam's prior written consent. ChurchFam Content does not include User Content, which is addressed in Section 4.

4. USER CONTENT

(a) Ownership. "User Content" means posts, comments, prayer requests, photos, profile information, and any other content Users submit through the App. You retain ownership of your User Content.

(b) License to ChurchFam. You grant ChurchFam a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit your User Content solely as needed to operate, provide, secure, and improve the App and to deliver features you or your church use (for example, showing your post to your church community or including it in an email summary for your church). We do not sell User Content, and we do not use it for advertising.

(c) Responsibility. You are solely responsible for your User Content. You represent that you own or have the rights necessary to submit it and that it does not violate these Terms or any law or third-party right.

(d) Community respect. Content shared within a church community, including prayer requests, is often personal and sensitive. You agree not to share, screenshot, redistribute, or republish another member's User Content outside the community without that member's consent.

(e) Objectionable content: zero tolerance. ChurchFam has no tolerance for objectionable content or abusive users. We may remove or refuse any User Content, and suspend or terminate any account, at any time and without prior notice, if we believe the content or conduct violates these Terms or is otherwise objectionable, unlawful, or harmful.

(f) Reporting and blocking. The App provides tools to report potentially objectionable content and to block abusive users. Reports may be reviewed initially by the applicable church's administrators and are also available to ChurchFam. Church administrators and ChurchFam will use commercially reasonable efforts to review reports promptly and, where warranted, remove or restrict content, warn, suspend, or remove users, or take other appropriate action. ChurchFam may act directly at any time, particularly when a report involves credible threats, unlawful content, exploitation, or an immediate safety concern. Moderation concerns may also be sent to support@churchfam.co.

(g) Moderation discretion. ChurchFam does not routinely review all User Content before it is posted. However, ChurchFam and the applicable church's administrators may monitor, review, restrict, preserve, or remove User Content when reasonably necessary to enforce these Terms, protect Users, comply with law, investigate reports, or maintain the security and integrity of the App.

5. ACCEPTABLE USE

You agree not to use the App or any ChurchFam Content or User Content for any unlawful purpose or in any way that could damage the App or ChurchFam's services or business, and specifically agree not to use the App:

(i) to harass, abuse, or threaten any person or otherwise violate any person's legal rights;

(ii) to violate the intellectual property rights of ChurchFam or any third party;

(iii) to upload or spread viruses or other malicious software;

(iv) to commit fraud, or to impersonate any person or misrepresent an affiliation with any church or person;

(v) to engage in or promote unlawful gambling, sweepstakes, or pyramid schemes;

(vi) to publish or distribute obscene, sexually explicit, or defamatory material;

(vii) to publish or distribute material that incites violence, hatred, bullying, harassment, or discrimination toward any person or community, or to promote dangerous organizations;

(viii) to collect or harvest information about other Users, including directory information, for any purpose outside the App;

(ix) to send spam or unsolicited commercial messages to other Users;

(x) to reverse engineer, decompile, or disassemble any part of the App; or

(xi) to violate the security of the App through unauthorized access, circumvention of security tools, scraping, data mining, or interference with any host, User, or network.

6. PRIVACY

(a) Our collection and use of personal information is described in the ChurchFam Privacy Policy at churchfam.co/privacy.

(b) You understand that your profile information and User Content may be visible to members and administrators of your church community as described in the Privacy Policy. Church administrators may access, moderate, and, where permitted by the church's agreement with ChurchFam, export community content for legitimate community administration, continuity, safety, or legal purposes. An export does not transfer ownership of your User Content to the church.

(c) Sensitive information. ChurchFam is a private church-community service. By creating an account, you expressly consent to ChurchFam processing information that reveals your church or religious affiliation as necessary to provide the App. You understand that prayer requests and other content you voluntarily submit may reveal health, religious, family, or other sensitive information and will be visible to the audiences you select within your church community.

7. NO PURCHASES IN THE APP

(a) The App is free for Users. The App does not sell goods or services, does not offer in-app purchases or paid subscriptions to Users, and does not deliver physical or digital goods.

(b) Access to a ChurchFam community may be made available under a separate agreement between ChurchFam and the participating church. That separate agreement is not governed by these Terms.

8. DISCLAIMERS; AVAILABILITY; LIMITATION OF LIABILITY

(a) The App and all content are provided "as is" and "as available," for general information and community connection only, and may be modified, updated, or discontinued by ChurchFam at any time without prior notice.

(b) You acknowledge that content available through the App may contain errors, mistakes, or inaccuracies, and that the App and related services may be unavailable from time to time, whether for maintenance or otherwise.

(c) To the maximum extent permitted by law, ChurchFam excludes all warranties, terms, and representations, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in these Terms. ChurchFam does not warrant the accuracy, completeness, or reliability of any content, including User Content.

(d) To the maximum extent permitted by law, ChurchFam shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data or interference with business, arising out of or relating to your use of the App, and ChurchFam's total aggregate liability arising out of or relating to these Terms or the App shall not exceed one hundred U.S. dollars (USD 100).

(e) Your use of the App is at your own risk. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in that case, liability is limited to the fullest extent permitted by law.

9. TERMINATION

(a) ChurchFam may suspend or terminate these Terms and your access to the App at any time, with or without cause, including if you breach these Terms in any manner.

(b) Your church's administrators may remove you from their community at their discretion, and your access to a community ends if the related church subscription ends, as described in Section 2.

(c) You may stop using the App at any time and may terminate these Terms by deleting your account, either directly within the App (Settings, then Delete Account) or by contacting us at support@churchfam.co. Account deletion is handled as described in the Privacy Policy.

(d) If the App permanently ceases to operate, these Terms terminate automatically.

(e) Upon termination, your license to use the App ends and you must stop reproducing or distributing any ChurchFam Content. Provisions that by their nature should survive termination will survive, including Sections 3, 4(b) (to the extent needed to wind down and delete data), 8, 11, 14, and 15.

10. PRODUCT AND CONTENT MODIFICATION

You acknowledge and agree that ChurchFam may modify, delete, or update the App and ChurchFam Content at any time at its sole discretion.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ChurchFam and its members, managers, employees, agents, and representatives from and against any third-party claim, and related liabilities and expenses (including reasonable attorneys' fees), arising out of or relating to your User Content, your misuse of the App, or your violation of these Terms or of any law or third-party right. ChurchFam reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with that defense.

12. COPYRIGHT COMPLAINTS

We respect intellectual property rights and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA). Notices may be sent to our designated agent at support@churchfam.co. We may remove allegedly infringing content and may terminate the accounts of repeat infringers.

13. APP STORE TERMS

(a) These Terms are between you and ChurchFam only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Apple and Google are not responsible for the App or its content, and have no obligation to furnish maintenance or support for the App.

(b) If you downloaded the App from the Apple App Store, your license is limited to use on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple may refund any purchase price paid (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. ChurchFam, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, claims of legal or regulatory non-compliance, and claims under consumer protection law. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

(c) You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable U.S. and foreign export control laws in connection with your use of the App.

14. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

(a) Informal resolution first. Before filing a claim, you and ChurchFam agree to try to resolve any dispute informally. Either party may send the other a written notice of dispute (to the address or email in the Contact Details section), and the parties will attempt in good faith to resolve the dispute within 30 days.

(b) Binding arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the App shall be resolved by binding arbitration before one arbitrator administered by the American Arbitration Association ("AAA") under its then-current Consumer Arbitration Rules, available at www.adr.org. The arbitration may proceed by written submissions, videoconference, telephone, or at another location reasonably convenient to you as permitted by the AAA Rules. ChurchFam will pay any arbitration fees it is required to pay under the AAA Consumer Arbitration Rules. The arbitrator may award any individual remedy available in court.

(c) Class action waiver. Disputes will be arbitrated only on an individual basis. Neither you nor ChurchFam may participate in a class, consolidated, or representative action or arbitration. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court, and the remainder of this Section remains in effect.

(d) Small claims. Either party may bring an individual claim in small claims court instead of arbitration.

(e) Opt-out. You may opt out of this arbitration agreement by emailing support@churchfam.co within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

15. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles, and are entered into and enforceable in the State of Texas. Any dispute not subject to arbitration under Section 14 shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and the parties consent to the jurisdiction of those courts, agree to accept service of process by mail, and waive any jurisdictional or venue defenses otherwise available.

16. GENERAL

(a) Assignment. You may not assign these Terms or your account without ChurchFam's prior written consent. ChurchFam may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

(b) Notices. ChurchFam may provide notices to you through the App, by email to the address on your account, or by posting to churchfam.co. Notices to ChurchFam must be in writing and delivered by certified mail or courier to BlueDot Designs LLC, 5900 Balcones Drive, Suite 100, Austin, TX 78731, or by email to support@churchfam.co.

(c) Changes to these Terms. ChurchFam may update these Terms from time to time. We will provide advance notice of material changes through the App or by email. If a change materially affects arbitration, User Content rights, privacy practices, liability limitations, or other material rights, we may require you to affirmatively accept the updated Terms before continuing to use the App. Other changes become effective on the stated effective date, and continued use after that date constitutes acceptance.

(d) Severability. If any provision of these Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions remain in full force and effect.

(e) Entire agreement; waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and ChurchFam regarding the App and supersede any prior agreements on that subject. A failure to enforce any provision is not a waiver of it.
